1. Acceptance of these terms
These Terms of Service (the "Terms") are an agreement between you and PocketStage ("PocketStage," "we," "us," or "our"). By creating an account, signing in, or otherwise using the PocketStage website, applications, and services (together, the "Service"), you agree to these Terms. If you do not agree, do not use the Service. If you use the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.
2. Description of the Service
PocketStage relays a speaker's live audio to listeners' own phones and earbuds in a venue, with real-time captions and live translation. Listeners join a session anonymously by scanning a QR code or entering a short code, with no account required. Speakers and organizers sign in with a magic-link email and work inside an organization, which is a shared workspace for events and sessions.
Live audio is streamed in real time and is ephemeral. It is not recorded or stored by us. Captions are generated live and delivered as transient data, and are not persisted as transcripts.
3. Accounts and eligibility
To create or organize sessions you need an account, which we authenticate using a magic-link sent to your email address. You are responsible for the activity that happens under your account and for keeping access to your email secure. You must be old enough to form a binding contract in your jurisdiction to hold an account. The Service is not directed to children, and listeners who join a session are not required to create an account.
4. Acceptable use
Your use of the Service is subject to our Acceptable Use Policy. In short, you may not use PocketStage for illegal, harmful, or infringing activity, and you may only broadcast audio and content you have the right to share. We may suspend or terminate accounts that violate that policy.
5. Plans and billing
PocketStage offers a free plan that is subject to usage caps, which may include limits on participant-minutes, concurrent sessions, session length, and the number of people in a session. We may change these caps over time. Paid plans with higher limits are available, and the fees, billing terms, and usage allowances for the plan you choose will apply. If you exceed the limits of your plan, we may throttle, pause, or decline service until you upgrade or your usage resets.
6. Intellectual property
The Service, including its software, design, and the PocketStage name and logos, is owned by us and our licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable right to use the Service in accordance with these Terms. You retain whatever rights you already hold in the audio and content you broadcast, and you are responsible for having those rights. You grant us the limited, temporary rights needed to transmit and process your audio and content in real time to provide the Service, including captioning and translation.
7. Disclaimers
The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Service will be uninterrupted, error-free, or secure, or that captions and translations will be accurate. You should not rely on automated captions or translation for safety-critical, medical, or legal purposes.
8. Limitation of liability
To the fullest extent permitted by law, PocketStage and its suppliers will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of the Service. Our total liability for any claim relating to the Service will not exceed the greater of the amount you paid us in the twelve months before the claim, or one hundred US dollars.
9. Termination
You may stop using the Service at any time. We may suspend or terminate your access, with or without notice, if you violate these Terms or the Acceptable Use Policy, if we are required to by law, or if continuing to provide the Service to you would expose us or others to risk. Sections that by their nature should survive termination, such as intellectual property, disclaimers, and limitation of liability, will survive.
10. Changes to these terms
We may update these Terms from time to time. When we make material changes, we will update the "Last updated" date above and, where appropriate, notify you. Your continued use of the Service after changes take effect means you accept the updated Terms.
11. Governing law
These Terms are governed by the laws of [JURISDICTION], without regard to its conflict-of-laws rules. You and PocketStage agree to the exclusive jurisdiction of the courts located in [JURISDICTION] for any dispute that is not subject to other agreed dispute resolution.
